Terms of Service

Akeso Health, LLC · [Mailing address — to be added] · Effective [Effective date — to be added]

Please read these terms carefully. They describe your rights and responsibilities when using Akeso AI.

1. Agreement

These Terms of Service govern access to and use of Akeso AI, a clinical workflow platform offered by Akeso Health, LLC ("Akeso", "we"). By creating an account or using the service you agree to these Terms on behalf of yourself and the practice you represent. If you do not agree, do not use the service.

If your practice has signed a subscription agreement or Business Associate Agreement (BAA), those documents control over these Terms where they conflict.

2. Eligibility and accounts

Akeso AI is for authorized staff of healthcare practices and related organizations in the United States. You must provide accurate registration details, keep credentials confidential, and notify us promptly of unauthorized access. Practice administrators are responsible for granting and removing staff access and for the activity of their users.

3. The service

Akeso AI helps staff prepare prior-authorization, appeal and related administrative documents, track statutory deadlines, and organize payer correspondence. Features may change, and some features run in test or simulation mode until the required connections (for example fax or text delivery) are configured.

4. Not medical, legal or coverage advice

Akeso AI does not provide medical advice, legal advice, or any guarantee that a payer will approve a request or reverse a denial. Licensed clinicians remain solely responsible for clinical determinations. Statutory timers, rules and templates are starting points and must be verified against current law, payer contracts and plan documents.

5. AI-generated content

The service uses artificial intelligence to draft content. Output may be incomplete or wrong. You must review and approve all content against the source record before relying on or submitting it. Complaint and grievance drafts are never filed automatically.

6. Your data and licenses

You retain ownership of the content and records you submit ("Customer Data"). You grant Akeso a limited license to host, process and display Customer Data solely to provide, secure and support the service. You represent that you have the legal right and any required patient authorizations or permitted-purpose basis to submit it. Akeso does not use Customer Data to train AI models.

7. Protected health information

Where Akeso acts as your business associate, PHI is handled under the BAA you sign during onboarding, and your workspace remains locked until it is signed. You must not upload PHI before then. Security measures are described on our Security page.

8. Acceptable use

You may not: (a) access data of another practice; (b) bypass or test security controls without written permission; (c) upload malware or unlawful content; (d) use the service to submit knowingly false or fraudulent claims or statements to any payer or agency; (e) reverse engineer the service; or (f) resell it without our written consent.

9. Fees and payment

Fees, billing cycles and taxes are set out in your order form or subscription agreement. Unpaid amounts may result in suspension after notice.

10. Intellectual property

Akeso and its licensors own the service, software, branding and documentation. Except for Customer Data, nothing in these Terms transfers ownership to you. We may use feedback you give us without obligation.

11. Third-party services

The service relies on subprocessors and may connect to payers, fax and messaging carriers and EHR systems. We are not responsible for third-party outages, payer actions or delivery failures outside our control. Our current subprocessor list is on the Security page.

12. Confidentiality and security

Each party will protect the other's non-public information with reasonable care. Akeso maintains administrative, technical and physical safeguards as described on the Security page, but no system is perfectly secure.

13. Suspension and termination

You may stop using the service at any time. We may suspend or end access for material breach, security risk, non-payment or legal requirement. On termination, we will make Customer Data available for export for a reasonable period and then delete or return it as your agreement and applicable law require. Audit records required for compliance may be retained for the period stated in the Privacy Policy.

14. Disclaimers

To the maximum extent permitted by law, the service is provided "as is" and "as available", and Akeso disclaims all implied warranties including merchantability, fitness for a particular purpose and non-infringement.

15. Limitation of liability

To the maximum extent permitted by law, Akeso will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost revenue, denied claims or missed payer deadlines. Akeso's total liability for any claim is limited to the fees you paid for the service in the twelve months before the claim arose, except where law does not allow such a limit.

16. Indemnity

You will defend and indemnify Akeso against third-party claims arising from your Customer Data, your breach of these Terms, or your submissions to payers made without appropriate clinical and legal review, except to the extent caused by Akeso's own breach.

17. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. The state and federal courts located in Florida have exclusive jurisdiction, and each party consents to that venue.

18. Changes

We may update these Terms. We will post the new version with its effective date and, for material changes, notify account administrators. Continued use after the effective date means you accept the update.
